Business Entities on the Louisiana Bar Exam

9 teaching unitsNon-Code subject2:00 PM–5:00 PM

Business Entities is about who acts for a company, who is on the hook for its debts, and what happens when an owner leaves, across four forms: corporations, LLCs, partnerships, and partnership in commendam. The whole subject is a compare-and-contrast: the same question, answered differently depending on the entity.

Where it sits on the exam

  • Day 2 (Wednesday), 2:00 PM to 5:00 PM, the longer afternoon session.
  • Tested by multi-part essay questions, and in recent years about 10 multiple-choice questions as well.
  • One of 4 non-Code subjects. The five Code subjects count double the four non-Code subjects toward your score.

What it tests

Expect a corporate question and a partnership/LLC question. The graders reward knowing WHICH body may act and by WHAT vote, and keeping the four entity forms straight.
